WellNexus Terms of Use

WellNexus is the practice management system operated by Living Well Counseling & Consulting LLC ("Living Well", "we", "us"). These terms govern every use of WellNexus, including its connection to QuickBooks Online. By signing in to WellNexus, or by connecting a QuickBooks Online company to it, you agree to these terms.

1. Who may use WellNexus

WellNexus is not offered to the public. Only staff, clinicians and administrators whom Living Well Counseling & Consulting LLC or Living Well Mission has authorized may use it, and only for the work of those two organizations. Your access ends when your authorization ends.

2. License

We grant you a limited, personal, non-exclusive, non-transferable and revocable license to use WellNexus for your authorized work. You may not copy, modify, resell, sublicense, reverse engineer or share access to WellNexus, and you may not use it to build a competing product.

3. Your account

Keep your sign-in credentials private, and use only your own account. Tell us right away at admin@therapyforlivingwell.com if you believe your account has been used without your permission.

4. Acceptable use

• Use WellNexus only as your role requires and as the law allows, including HIPAA and Florida law.
• Do not try to reach data, screens or systems your role does not permit.
• Do not upload malicious code, or interfere with the security or operation of WellNexus.

5. QuickBooks Online connection

WellNexus can connect to the QuickBooks Online companies of Living Well Counseling & Consulting and Living Well Mission. It does so only when an authorized administrator approves the connection through Intuit's sign-in. Once connected, WellNexus records the organization's own accounting entries in its own QuickBooks company: invoices, payments, credits, refunds, write-offs, insurance remittances, bills and the related journal entries.

Clients are identified in QuickBooks by their WellNexus client ID number only. WellNexus sends no client name, email address or phone number to QuickBooks. Clinical records never leave WellNexus.

An administrator can disconnect a QuickBooks company at any time:

• Living Well Counseling & Consulting: Financial Analytics, QuickBooks in WellNexus.
• Living Well Mission: LWM Payables in WellNexus.
• Either company: from the apps list in QuickBooks Online.

Disconnecting stops new postings. It does not remove entries already recorded in QuickBooks.

6. Data ownership and privacy

The data in WellNexus and in each QuickBooks company belongs to the organization that owns it. We handle personal information as described in our Privacy Policy. Protected health information is handled under our HIPAA obligations.

7. Availability and changes

We work to keep WellNexus available and accurate, but we may change, suspend or retire any feature at any time. We may also update these terms. The effective date above shows when they last changed, and continued use means you accept the update.

8. Disclaimer

WellNexus is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Accounting entries WellNexus records should be reviewed by the organization's accountant.

9. Limitation of liability

To the extent the law allows, Living Well is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from the use of WellNexus.

10. Termination

We may suspend or end your access at any time, including when your role ends or you break these terms. Sections 2, 6, 8, 9 and 11 survive termination.

11. Governing law

These terms are governed by the laws of the State of Florida. Any dispute will be heard in the state or federal courts serving Lee County, Florida.
